Arbitration:

Anyone doing business with or ordering from Southern Supply agrees to arbitration as the only path for 3rd party resolution. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in King County, Washington, and judgment on the arbitration award may be entered in any court having jurisdiction thereof. Either you or we may seek any interim or preliminary relief from a court of competent jurisdiction in King County, Washington necessary to protect the rights or property of you or Southern Supply (or its agents, suppliers, and subcontractors) pending the completion of arbitration.

Miscellaneous:
These Terms, including all terms, conditions and policies that are incorporated into these terms by reference, constitute the entire agreement between you and Southern Supply and govern your use of our sites, superceding any prior agreements that you may have with us.

These Terms shall be construed in accordance with the laws of the State of Washington, and the parties irrevocably consent to bring any action to enforce these Terms before an arbitration panel if seeking interim or preliminary relief or enforcement of an arbitration award. If any part of these Terms is determined to be invalid or unenforceable pursuant to applicable law, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the Terms shall continue in effect.

Southern Supply reserves the right to eliminate products for sale at any time on it’s owned Web sites. Southern Supply will use all reasonable best efforts to ensure that all products listed are available. Should a product or products become sold out or unavailable for any reason, prior to removal from the website, neither Southern Supply nor any of its directors, officers, employees or other representatives will be held liable for damages, replacement or losses as a result of this occurrence.

Sales Tax Information
Persons or Companies engaged in the business of service, repair, or retail are eligible for reseller certification. As such you may be entitled to notification of special offerings and a tax exempt status. You may be required to transmit a copy of your State’s sales or use tax permit and a signed statement attesting to the nature of your business to Southern Supply.

It is the policy of the company to charge applicable sales tax if retailers do not supply the appropriate reseller tax identification certificate as required. The company is not responsible for additional tariffs, duties or any form of taxation that apply to items shipped to other states or outside the United States, unless or until governmental policy is established requiring Internet sales to collect applicable sales tax on a state by state basis.
